ISM-Western New York: Battle of the Forms, Contract Language Highlights
Join us for our March Membership Meeting featuring James Deasey III, MBA, C.P.M., Sr. Contracts Manager for G.W. Lisk Company, Inc. The best contracts are the ones you rarely need to reference— agreements that sit quietly on the shelf while a strong, profitable relationship delivers value to both parties. But when challenges arise, a well-constructed contract becomes an essential tool. Pulling it off the shelf and using it effectively can help resolve issues that drain time, money, and resources on both sides of the relationship. As legal counsel often reminds us, once attorneys become involved, the only real winners are the attorneys themselves—so it’s best to avoid that step unless absolutely necessary. The most effective way to prevent disputes is to establish contracts that clearly and accurately define the relationship from the start, including ownership, expectations, responsibilities, remedies, and—if needed—how the relationship concludes.
In this session, we’ll explore key contract considerations, including:
· Doing business on a PO-to-PO basis using UCC guidance
· Essential and critical contractual elements when establishing supplier relationships
· Understanding U.S. Government (USG) contracts and commerciality
· Practical techniques to strengthen contracts and manage risk

Jim Deasey’s 35-plus years of progressive Operations and Supply Chain roles enable him to speak experientially and relationally with his customers and colleagues at any level of the business. The Reprographics and Aerospace industries are his most tenured, with additional experience in peristaltic and full motion pump solutions, healthcare (GPO’s and consulting), as well as business ownership. In his most recent role, Jim is the Sr. Contracts Manager for G.W. Lisk Company, Inc., located in Clifton Springs. This diversity of experience, along with continuous participative Cross functional team involvement, allows Jim to approach today’s business with solutions to all types of challenges in a thorough, holistic manner. Jim holds a bachelor’s degree in marketing and economics from S.U.N.Y. Brockport and an M.B.A from St. John Fisher College. Additional supply chain studies include certificates awarded at Penn State’s Smeal College of Business and Clarkson University. He has also completed several Parker leadership courses. He has participated as a mentor in the formal Parker Mentoring program, Organizational Design initiatives, and managed Sales and Operations Planning processes at the Division level. Jim is a certified Lean Six Sigma green belt with extensive training in problem-solving methodologies. He is a past member of the Board of Directors (and lifetime member) of the Institute for ISM- Rochester chapter. He is a Freemason in both New York and Ohio, and a Scottish Rite Mason in New York.
